(the \u201cCompany\u201d) today announced its financial and operational results for the three months and six months ended June 30, 2023.<\/p>\n<p><strong>Financial Highlights (Unaudited)<\/strong><\/p>\n<ul>\n<li>Net income was $41,217 for the three months ended June 30, 2023 (June 30, 2022 \u2013 Net loss $58,521,457). Investment performance was neutral in the quarter.<\/li>\n<li>Net income per Class C common share (\u201cShare\u201d) for the three months ended June 30, 2023 was $0.01 (June 30, 2022 \u2013 Net loss per share $7.71).<\/li>\n<li>Shareholders\u2019 equity per Share was $8.85 as at June 30, 2023 (December 31, 2022 \u2013 $9.28).<\/li>\n<li>The Company\u2019s total shareholders\u2019 equity was $66.8 million as at June 30, 2023, a decrease from December 31, 2022 ($70.2 million) resulting primarily from negative investment performance during the period.<\/li>\n<li>Shares outstanding were 7,547,129 as at June 30, 2023, a decrease from December 31, 2022 (7,569,929) as a result of share repurchases under the Company\u2019s Normal Course Issuer Bid (\u201cNCIB\u201d), which was renewed on February 14, 2023.<\/li>\n<li>At June 30, 2023, 83.5% of the investment portfolio was made up of private companies and 16.5% of public companies. However, taken together with the Company\u2019s indirect exposure to public companies through its investment in Pender Private Investments Inc. (\u201cCopperleaf\u201d). At June 30, 2023, considering both its direct investment and its indirect investment through its holding of shares of PPI, the Company held 6,762,065 shares of Copperleaf with a value of $\u00ac\u00ac\u00ac38.5 million, which was 57.7% of the Company\u2019s total shareholders\u2019 equity of $66.8 million (December 31, 2022 \u2013 6,762,065 Shares with a value of $38.8 million which was 55.3% of the Company\u2019s total shareholders\u2019 equity of $70.2 million). As at June 30, 2023, Copperleaf\u2019s trading price was at $5.70 per share, down $0.04 per share from its December 31, 2022 closing price of $5.74 per share. There can be no assurance that the Company will be able to realize the value of this investment.<\/p>\n<p><strong>Faits saillants du portefeuille<\/strong><br \/>\nDuring the second quarter, financial markets responded positively to the growing expectations of economic soft landing and rallied with equities and corporate bonds performing well. Softening economic growth but avoiding an outright recession would be a favourable outcome, but with the rally in risk assets there is potential for disappointment if a more challenging economic backdrop were to materialize.<\/p>\n<p>We believe that the Company continues to be well-positioned today to pursue its investment objectives despite current market volatility and valuations in micro and small cap stocks in North America.<\/p>\n<p>Investment results may be affected by future developments and new information that may emerge about inflation and the impact of central bank measures and geopolitical and other global events, factors that are beyond the Company\u2019s control.<br \/>\nWhile macro events have driven investor sentiment, we have remained focused on our bottom-up fundamental research to identify companies that can thrive in a wide range of economic scenarios. We believe that this environment provides compelling opportunities for long term focused investors and that the Company is well-positioned to continue to pursue its investment objectives.<\/p>\n<p>As always, this quarter we worked closely with our private portfolio companies and certain of our public portfolio companies.<\/p>\n<p><em>Importantes participations au capital et \u00e9v\u00e9nements r\u00e9cents<\/em><br \/>\n<span style=\"text-decoration: underline;\">Pender Private Investments Inc.<\/span><br \/>\nAt June 30, 2023, the Company held approximately 98% of the Legacy Shares of PPI, formerly the Working Opportunity Fund (EVCC) Ltd. (\u201cWOF\u201d). These shares were acquired in May 2021 from shareholders of WOF (\u201cExiting Shareholders\u201d) under the previously announced transaction (the \u201cWOF Transaction\u201d) and in transactions subsequent to May 2021.<\/p>\n<p>On June 21, 2023, PTF and PPI entered into an arrangement agreement (\u201cArrangement Agreement of the PPI Transaction\u201d) for PTF to acquire all of PPI\u2019s Legacy Shares held by the 2% minority shareholders (the \u201cPPI Transaction\u201d).<\/p>\n<p>After receiving approval from the PPI shareholders, a satisfactory Fairness Opinion and court approval, the Company acquired the remaining 2% of PPI\u2019s Legacy Shares at a purchase price $6.94 per Share for a total cash purchase price of approximately $855,490, effective August 17, 2023.<\/p>\n<p><span style=\"text-decoration: underline;\">Copperleaf Technologies Inc. <\/span><br \/>\nAt June 30, 2023, the Company held 9.3% of Copperleaf\u2019s issued and outstanding shares, both directly and through its investment in PPI.
